We are asking for your feedback on term limits for elected directors of the Board and appointed committee members. The deadline to submit feedback is May 13, 2025. Feedback will be considered by the Governance Committee and the Board before the change is confirmed in bylaw.
We are considering reducing the term limit for elected board directors and appointed committee members from nine consecutive years (structured as three, three-year terms) to six consecutive years (structured as two, three-year terms). This change would come into effect as of January 2026.
Anyone elected or appointed in 2025 for their third term would serve the entirety of their third term. Individuals applying for reelection or reappointment in 2026 would only be eligible if they have not already served two, three-year terms as a board or committee member or combination of the two roles.
We are proposing this change because shorter term limits can benefit boards and organizations by providing a regular introduction of new perspectives and diversity that can lead to a dynamic and evolving board composition focused on innovation, engagement, and adaptability.
